These Terms of Service (“Terms”) form a binding agreement between you and HB Technologies LLC, a Delaware limited liability company (“HB Technologies,” “we,” “us”), governing your access to and use of friendswith.ai and any related websites, applications, content, and services (collectively, the “Service”). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & age verification

The Service is intended exclusively for adults 18 years of age or older (or the age of majority in your jurisdiction, whichever is greater). By using the Service you represent and warrant that you meet this requirement and that you are not barred from using the Service under any applicable law. We reserve the right to require additional age verification at any time and to terminate accounts that we believe in good faith are operated by minors or by individuals misrepresenting their age.

2. The Service

friendswith.ai offers conversational experiences with AI-generated fictional characters (“Characters”). Characters are not real people. Any names, personalities, dialogue, photographs, voice, video, or other content associated with Characters is artificial, generated through machine learning models, image synthesis, voice synthesis, and related technologies, or licensed for use on the Service. References to “memory,” “feelings,” “preferences,” or any other anthropomorphic attribute of a Character are dramatic conventions and not statements of fact. Conversations may involve mature, sexually explicit, or otherwise adult themes; you must not use the Service if such content is unwelcome or unlawful where you reside.

3. Accounts

You may create an account using a supported third-party identity provider (e.g., Google). You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. You agree to provide accurate information and to update it as it changes. We may suspend or terminate accounts that violate these Terms, that we suspect of fraud, or that are inactive for an extended period.

4. Subscriptions & payments

• Free tier. We may offer a limited number of free interactions with the Service.
• Paid tier. Premium features are available by subscription. Subscriptions renew automatically at the interval you selected (monthly, quarterly, or annual) until cancelled. The price displayed at checkout is the price you will be charged.
• Cancellation. You may cancel at any time from your account settings. Cancellation stops future renewals; it does not retroactively refund the current term.
• Refunds. Except where required by law, all payments are non-refundable. We may, in our sole discretion, issue refunds in cases of duplicate billing or material Service failure.
• Taxes. Prices do not include sales, use, value-added, or similar taxes, which we may collect where required.
• Virtual items. Tokens, credits, gifts, and similar in-Service items are licensed, not sold; they have no monetary value, are non-transferable, and cannot be redeemed for cash.

5. Acceptable use

You agree not to use the Service to:

• generate, request, or distribute content that depicts or sexualizes minors in any form;
• generate or distribute content depicting non-consensual sexual acts, real-world identifiable individuals without consent, or any other content prohibited by applicable law;
• create deepfake or impersonating content of identifiable real persons;
• harass, threaten, defame, or stalk any individual;
• solicit or facilitate illegal activity, violence, terrorism, or self-harm;
• scrape, copy, or redistribute the Service or its outputs at scale, or use the Service to train competing models;
• circumvent rate limits, paywalls, content filters, age gates, or security mechanisms;
• upload malware, conduct denial-of-service attacks, or otherwise interfere with the Service.

We reserve the right to remove content, suspend accounts, and report violations to law enforcement. Violations of the first item above will result in immediate, permanent account termination and a referral to the National Center for Missing & Exploited Children (NCMEC) or equivalent authority.

6. User content

You retain ownership of content you submit to the Service (your messages, uploaded images, etc., “User Content”). You grant HB Technologies a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, create derivative works from, and process User Content for the limited purpose of operating, improving, and securing the Service, including training and fine-tuning of conversational models when you have opted in or where permitted by law. You represent that you have all rights necessary to grant this license and that User Content does not violate any law or third-party right.

7. AI outputs

Output produced by the Service is generated automatically and may be inaccurate, offensive, or unsuitable for a given purpose. We make no guarantee that any specific Character behavior, response, or photograph will appear, persist, or be repeated. You are solely responsible for how you use AI outputs. Do not rely on AI outputs as professional advice (medical, legal, financial, psychiatric, or otherwise).

8. Intellectual property

The Service, including all software, designs, logos, Characters, models, and curated content, is owned by HB Technologies or its licensors and is protected by copyright, trademark, and other laws. We grant you a limited, revocable, non-transferable, non-sublicensable license to use the Service for your personal, non-commercial enjoyment, subject to these Terms. No other rights are granted by implication or estoppel.

9. Third-party services

The Service may integrate with third-party providers (identity, payment, analytics, infrastructure). We are not responsible for those providers’ conduct, content, or policies. Your use of those services is governed by their own terms.

10. Termination

You may stop using the Service at any time and delete your account from your settings. We may suspend or terminate your access at any time, with or without notice, including for breach of these Terms or where required by law. Sections that by their nature should survive termination (intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution) will survive.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. HB TECHNOLOGIES DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUTS WILL BE ACCURATE OR APPROPRIATE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HB TECHNOLOGIES AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR USE, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

13. Indemnification

You agree to defend, indemnify, and hold harmless HB Technologies and its affiliates from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising from (a) your violation of these Terms, (b) your User Content, or (c) your misuse of the Service.

14. Governing law & dispute resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Except for claims for injunctive relief or intellectual-property infringement, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The seat of arbitration is New York, New York. You and HB Technologies waive any right to participate in a class, collective, or representative proceeding. If this arbitration clause is unenforceable, the parties consent to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

15. Changes to these Terms

We may update these Terms from time to time. If a change is material we will provide notice via the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
